Talent Agreement

1. Agreement and acceptance

This Talent Agreement ("Agreement") applies when you opt in to offer services on FindTalents. By completing talent onboarding, enabling a talent profile, accepting jobs, or otherwise operating as Talent on the Platform, you agree to this Agreement, our Terms of Service, Privacy Policy, and Community Guidelines. If you do not agree, do not offer services on FindTalents.

2. Independent contractor status

You are an independent professional, not an employee, agent, joint venturer, partner, or franchisee of FindTalents. You control how, when, and where you perform your services, supply your own tools and materials unless otherwise agreed with the Customer, and set your own methods.

NOTHING IN THIS AGREEMENT CREATES AN EMPLOYMENT, AGENCY, JOINT-VENTURE, OR FRANCHISE RELATIONSHIP. YOU ARE NOT ENTITLED TO EMPLOYEE BENEFITS, WORKERS' COMPENSATION FROM FINDTALENTS, OR UNEMPLOYMENT INSURANCE FROM FINDTALENTS. YOU ARE SOLELY RESPONSIBLE FOR YOUR BUSINESS EXPENSES, TAXES, LICENSES, PERMITS, AND REGULATORY COMPLIANCE.

3. Eligibility

You must be at least 18 years old, legally permitted to work in the jurisdictions where you offer services, and able to form a binding contract. You must complete phone verification before accepting jobs or receiving payouts. You may maintain a Customer role on the same account; customer and talent reputations remain separate.

4. Your representations

You represent and warrant that: (a) information in your profile, listings, rates, credentials, and messages is accurate and not misleading; (b) you are qualified to perform the services you offer; (c) you hold all licenses, permits, registrations, and insurance required by law for those services in each area you serve; (d) you will perform work competently, professionally, and lawfully; and (e) you have authority to enter this Agreement.

5. Licenses, insurance, and compliance

You are responsible for knowing and following federal, state, and local laws that apply to your trade, including licensing, permitting, tax registration, and consumer protection rules. You must maintain insurance appropriate for your services (such as general liability) and provide proof when requested for verification badges. FindTalents does not provide insurance to Talent.

6. Profile, listings, and service area

You control your bio, categories, rates, photos, and service radius or service areas (including Premium multi-area settings where available). Keep your profile current. Do not list services you cannot legally or safely perform. You may accept or decline job requests at your discretion unless you have committed to a specific booking through the Platform.

7. Verification and background screening

You consent to identity verification, insurance review, and background screening conducted by FindTalents or third-party providers. If you choose manual identity review, you consent to uploading government ID images and a selfie, and you authorize FindTalents and its service providers to use AI-assisted document quality checks, one-to-one face comparison, text extraction, and manual admin review to evaluate the submission. AI results are advisory only and do not automatically approve or reject you. You authorize use of review results to determine eligibility, display badges, protect users, and prevent fraud. You must promptly update us if material information changes.

VERIFICATION, INSURANCE, BACKGROUND, AND AI-ASSISTED REVIEW RESULTS REFLECT INFORMATION REVIEWED IN GOOD FAITH AT A POINT IN TIME. THEY ARE NOT GUARANTEES OF SKILL, SAFETY, LEGALITY, FUTURE CONDUCT, INSURANCE COVERAGE LIMITS, OR BOOKING VOLUME.

8. Accepting and performing jobs

A job begins when you and a Customer agree through the Platform and payment is authorized per our escrow flow. Communicate clearly about scope, timing, access, and materials. Arrive within the agreed window, perform work as described, and mark jobs complete only when the agreed work is done. Repeated no-shows, abandonment, or material misrepresentation may affect reputation and account status.

9. Customer interactions and safety

Treat Customers, their homes, guests, and property with respect. Follow the Community Guidelines. Do not harass, discriminate against, or endanger anyone. Refuse work that is illegal or unreasonably unsafe. Report safety concerns through the Platform or to us.

YOU ASSUME THE RISKS INHERENT IN IN-PERSON SERVICES, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY, THEFT, AND MISCOMMUNICATION. YOU ARE SOLELY RESPONSIBLE FOR INJURY, PROPERTY DAMAGE, OR LOSSES CAUSED BY YOUR ACTS, OMISSIONS, OR SUBCONTRACTORS. FINDTALENTS DOES NOT SUPERVISE WORK ON SITE OR INSPECT JOB SITES, TOOLS, OR METHODS.

10. Payments, payouts, and escrow

Customer payments are processed by our payment processor and held in escrow until the Customer confirms completion, the auto-release period expires after you mark work complete, or a dispute is resolved. You must complete payout setup to receive funds. Payouts are sent to your connected account minus the platform fee disclosed at booking. FindTalents does not store raw card numbers. You authorize us and our payment processors to process charges, holds, releases, refunds, and splits per this Agreement and dispute outcomes.

11. Fees, taxes, and founding programs

Platform fees are shown before you accept a job or offer a plan. Promotional programs (such as founding talent reduced fees or complimentary Premium visibility) may apply for a limited time under rules posted on the Platform. You are solely responsible for reporting and paying income, self-employment, and sales taxes. FindTalents does not withhold taxes on your behalf unless required by law.

12. No off-platform payments

Off-platform payment circumvents the protections and fee structure that keep the marketplace fair for everyone.

YOU MUST NOT SOLICIT OR ACCEPT PAYMENT OUTSIDE FINDTALENTS FOR WORK DISCOVERED, NEGOTIATED, OR BOOKED THROUGH THE PLATFORM. OFF-PLATFORM PAYMENT VOIDS ESCROW PROTECTION, DISPUTE TOOLING, AND RELATED FEE OBLIGATIONS, AND MAY RESULT IN IMMEDIATE SUSPENSION OR PERMANENT REMOVAL.

13. Subscription plans and custom offers

You may create subscription plans and send custom offers through the Platform. Describe terms clearly and honor advertised discounts. Subscription billing is handled by our payment processor under terms shown at checkout. You are responsible for delivering the services customers reasonably expect under your plans and quotes.

14. Disputes

Customers or you may open disputes before escrow releases. Submit evidence promptly.

FINDTALENTS ADMINS MAY RELEASE, REFUND, OR SPLIT ESCROWED FUNDS BASED ON THE RECORD. YOU AGREE THIS IS A GOOD-FAITH ADMINISTRATIVE PROCESS, NOT BINDING ARBITRATION OR LEGAL ADVICE, AND DOES NOT LIMIT EITHER PARTY'S RIGHTS UNDER APPLICABLE LAW OUTSIDE THE PLATFORM. CHARGEBACKS DURING AN OPEN DISPUTE MAY DELAY RESOLUTION. FRAUDULENT CHARGEBACKS MAY RESULT IN ACCOUNT TERMINATION.

15. Reviews and reputation

Reviews are two-way and tied to completed jobs. You must not manipulate, purchase, or retaliate against reviewers. Your talent reputation score affects search visibility and Premium eligibility.

CONFIRMED REVIEW FRAUD, INCENTIVIZED REVIEWS, OR RETALIATORY REVIEWS MAY RESULT IN REPUTATION PENALTIES, LOSS OF PREMIUM STATUS, SUSPENSION, OR PERMANENT REMOVAL FROM THE PLATFORM.

16. Content and license

You retain ownership of content you submit, but grant FindTalents a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your profile, listings, photos, messages, and reviews to operate and promote the Platform. You represent that you have rights to all content you upload.

17. Premium and visibility

Premium status may be earned through performance criteria or purchased for a period, as described on the Platform. Benefits may include lower fees, additional service areas, and ranking advantages. We may change Premium criteria or pricing with notice as described in the Terms of Service.

PREMIUM STATUS, VERIFICATION BADGES, AND SEARCH RANKING DO NOT GUARANTEE ANY MINIMUM NUMBER OF BOOKINGS, EARNINGS, OR CUSTOMER INQUIRIES.

18. Suspension and termination

WE MAY SUSPEND, RESTRICT, OR PERMANENTLY REMOVE YOUR TALENT PROFILE OR ACCOUNT AT ANY TIME FOR VIOLATIONS, SAFETY RISK, FRAUD, FAILED VERIFICATION, REPEATED DISPUTES, OR LEGAL REQUIREMENTS, WITH OR WITHOUT PRIOR NOTICE WHERE PERMITTED BY LAW. YOU MAY STOP OFFERING SERVICES BY DISABLING YOUR TALENT PROFILE OR CLOSING YOUR ACCOUNT. PROVISIONS THAT BY THEIR NATURE SHOULD SURVIVE (INCLUDING PAYMENT OBLIGATIONS, INDEMNITY, AND LIABILITY LIMITS) SURVIVE TERMINATION.

19. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS FINDTALENTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM YOUR SERVICES, YOUR INTERACTIONS WITH CUSTOMERS, YOUR CONTENT, YOUR BREACH OF THIS AGREEMENT OR APPLICABLE LAW, OR ANY INJURY OR PROPERTY DAMAGE CAUSED BY YOUR WORK.

20. Limitation of liability

FINDTALENTS IS A NEUTRAL MARKETPLACE VENUE. WE DO NOT PERFORM YOUR SERVICES, SUPERVISE JOBS ON SITE, OR GUARANTEE OUTCOMES OR BOOKING VOLUME. TO THE FULLEST EXTENT PERMITTED BY LAW, FINDTALENTS AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES YOU PERFORM. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE PLATFORM FEES WE EARNED FROM YOUR BOOKINGS IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED BY LAW.

21. Electronic acceptance and records

Accepting this Agreement in the talent onboarding flow or continuing to operate as Talent after an update records your consent with a timestamp. You agree that electronic acceptance satisfies any writing requirement where permitted by law.

22. Changes to this Agreement

We may update this Agreement from time to time. We will post the new version with an updated date and version number. Material changes may be communicated by email or in-app notice. Continued operation as Talent after the effective date constitutes acceptance.
